Terms of Service

Last updated: July 18, 2024

1. Introduction

These Terms of Service (“Terms”) govern all services provided by Automate Next LLC, a Florida-based Limited Liability Company (“we”, “us”, or “our”). By accessing our website, purchasing services, or participating in onboarding, you (“you” or “client”) agree to be legally bound by these Terms.

2. Scope of Services

We specialize in AI-driven automation, intake optimization, workflow engineering, and system design for legal service providers. Specific deliverables, fees, and timelines will be detailed in individual agreements, proposals, or onboarding documents.

3. Performance Guarantee & Cancellation

We operate under a “performance-first” model, not refund-based.

3.1 Guarantee Model

If we fail to deliver the agreed results, we continue working without additional cost until the agreed outcome is reached.

3.2 Cancellation

You may cancel a subscription service with 30 days’ written notice. One-off builds are non-cancelable once development has commenced.

4. Client Responsibilities

To ensure project success, you agree to:

  • Provide all necessary access, content, and feedback within 7 business days of each request

  • Communicate in a timely, consistent manner

  • Not intentionally delay the project

Note: If the client goes unresponsive for 14+ consecutive days, the performance guarantee is void and the project may be paused or archived.

5. Scope Changes

All services are limited to the features and deliverables outlined in your accepted proposal. Any additional tasks, rounds of revision, or strategy shifts will be treated as out-of-scope and billed separately.

Out-of-scope rates start at $35/hour, unless otherwise agreed.

6. Payment Terms

  • Initial payment or deposit confirms project initiation and acceptance of these Terms

  • Payment milestones are defined per proposal

  • Late payments (7+ days overdue) incur a 1.5% monthly fee (or max allowed by law)

  • Accounts 30+ days overdue may be paused

  • Accounts 60+ days overdue may be referred to collections — client remains liable for fees, legal costs, and third-party recovery fees

7. Revisions

Each project includes up to 3 standard revision rounds, unless otherwise stated. Additional changes are billed hourly. Revisions must be requested before final approval or system deployment.

8. Intellectual Property

All deliverables become your property upon full payment.

Until full payment is received, all code, copy, and creative assets remain the exclusive property of Automate Next LLC.

9. Termination

Either party may terminate the engagement in writing. Upon termination:

  • Work completed to date is billable and non-refundable

  • Access to proprietary assets, dashboards, or systems may be revoked until full payment is received

  • “Abandoned” projects (see Section 4) will be archived with no refund

10. Platform Fees & Hosting

Unless otherwise specified, monthly automation hosting (if applicable) is billed at $99/month and includes system uptime, light maintenance, and access support.

11. Limitation of Liability

Automate Next LLC is not liable for:

  • Delays caused by incomplete or late client input

  • Indirect, incidental, or consequential damages

  • Revenue loss due to misused automation

  • 3rd-party platform outages (e.g., Zapier, Calendly, Google, Twilio, etc.)

12. Governing Law

These Terms are governed by the laws of the State of Florida. Any dispute will be resolved first via mediation. If unresolved, binding arbitration will be conducted in Fort Lauderdale, FL.

By engaging with our service, submitting payment, or accessing your client portal, you acknowledge that you have read, understood, and accepted these Terms.
